Committed Capital

Get financial backing before you find a deal

Committed Capital solves the financing problem that shows up before a larger deal is even on the table.

Qualifying Searchers receive a binding $500K to $1M commitment from the Acquisition Lab Fund, then search against clear criteria with the capital already in place.

Put real financing behind your search

Brokers are looking for confidence that you can close, but investors usually want a business to evaluate before they commit.

That creates a problem where Searchers can’t get the funding that brokers want to see in order to take them seriously.

Committed Capital bridges the gap by giving you a defined source of equity and a clear set of parameters for your search.

  1. A commitment before you find the deal

The Fund makes its commitment before there’s a deal to underwrite.

Once approved, you can search for 18 months knowing that $500K to $1M is available for an acquisition that meets the agreed-upon criteria.

  2. A commitment brokers can rely on

Brokers don’t have to take your word for it when you say the equity will be there.

Committed Capital gives you a binding Fund commitment you can point to when larger opportunities materialize.

  3. A different starting point for your search

Early backing from the Fund means that you aren’t reviewing every opportunity with no support.

The commitment gives you a defined funding pathway, so you can spend more time finding the right business and less time figuring out whether the equity can come together.

We commit to more than capital

The Fund doesn’t make a commitment and wait for you to come back at closing.

As opportunities move forward, you’ll have hands-on, 1:1 support evaluating the business, building the financing, structuring the deal, and getting it across the finish line.

Deal review

When a deal looks promising, bring it to the team early.

We’ll help you evaluate the business, challenge the assumptions, and decide whether it belongs in your pipeline.

Underwriting & modeling

Our team will help you turn the opportunity into a working model.

We’ll look at cash flow, leverage, purchase price, and key assumptions so you can see where the deal is strong and where things start to break down.

Deal structure

We’ll help you shape the transaction around the business, the financing, and the ownership economics.

That includes working through how the equity, debt, and deal terms fit together before you commit.

Lender packaging

If the deal looks good, our team will help you prepare the materials that lenders need to underwrite the acquisition.

Our goal is a clean package that shows how the deal works, how it’s financed, and what operational levers support repayment.

Seller & management calls

When the conversation gets serious, you won’t have to represent the Fund’s commitment or interest on your own.

Our team can join calls with sellers and management to answer financing questions, explain the deal structure, and give everyone confidence in how the deal will be funded.

Diligence through close

Our support does not stop once the LOI is signed.

We’ll stay involved through diligence, lender coordination, final structuring, and help with issues that need to be resolved before the deal can close.

Committed Capital deals come with Operate

Our support continues after the deal is done. Once you close, Operate becomes the accounting and finance team behind the business.

Using Operate gives the Fund reliable reporting and provides you with a team that already understands acquisition debt, lender requirements, and the financial demands of the transition year.

Built for experienced Operators who are ready to buy

Committed Capital is designed for experienced operators who can meet the demands of a larger SBA-backed search, including:

  • Real operating experience with P&L ownership
  • Plan to run the business full time
  • Willing to sign the personal guarantee
  • $350K+ in accessible capital
  • 20 to 30 hours a week available for the search
  • Comfortable working within defined terms & structure

You can apply before you know what you’ll buy. What needs to be clear that you’re prepared to search seriously and take responsibility for the business after close.

Apply before you join the Lab

You don’t need to be a Lab member to apply for Committed Capital.

If you’re accepted into the program, joining the Lab becomes part of the process before the commitment is put in place.

The deal still has to fit with the Fund

While Committed Capital gives you backing before the business is known, it doesn’t make every acquisition financeable.

We’re looking for SBA-backed businesses with enough cash flow to support new acquisition debt, a sensible purchase price, and financials that hold up under diligence.

Core deal criteria

Committed Capital’s deal criteria is intentionally narrower than what the Fund uses for opportunities already under consideration.

Since the commitment comes first, we need the eventual acquisition to fall within a defined set of requirements:

  • Financed primarily with SBA senior debt
  • Personal guarantee from the Operator
  • $1M to $2M in trailing SDE
  • Purchase multiple under 5x QoE-confirmed SDE
  • Clean diligence from an approved QoE provider

We have some room for case-by-case judgments, but these requirements are the baseline for the businesses we’d expect you to pursue.

Where we have flexibility

Not every qualifying business will land perfectly inside our target range.

We’re willing to take a closer look at those deals, even if the numbers don't line up with our desired profile.

We have some flexibility in these areas:

  • SDE outside the $1M to $2M target range
  • Deal size relative to the Fund’s commitment
  • Deal-specific factors that may strengthen or weaken the overall underwriting case

If the exception has a good business reason behind it, bring it to us, and we’ll work through it together.

Some businesses are outside our mandate

A strong operator and attractive price can’t solve every structural risk.

The Fund generally stays away from business models that carry risks we don’t want to underwrite, even when the topline financials look good.

Terms are set before the search begins

Committed Capital isn’t a framework that we renegotiate once you find a business.

The core terms are established upon program acceptance so that both sides have a clear understanding of how the commitment works throughout the search.

The structure is standardized on purpose

Everyone in Committed Capital works from the same agreement and terms, and that consistency enables the Fund to commit before a specific business exists.

Nobody negotiates a better version later, and everyone enters the search knowing the same rules apply.

Protection not control

Some of the terms within our agreement will give the Fund consent rights over major decisions, like taking on new debt or initiating a sale.

These controls are in place to protect the Fund’s investment from bad actors, not to turn our investors into Operators.

You’ll maintain control of day-to-day operations and be able to run the business as you see fit.

What current EIRs say

Committed Capital shows up in the conversations, decisions, and deals that Searchers work through every week.

In the last month alone, I’ve gone further in several processes than I did in the previous ten months on my own.

“Since joining the EIR Program at Shareholder Ventures a little over a month ago, I’ve felt a real shift in how I’m running my search. The SHV team has been in the weeds with me across the entire pre LOI process, stress testing underwriting, tightening up structure, thinking through risk, answering questions promptly, and even getting on management calls to speak to their committed capital and strengthen my credibility with sellers.

I’ve also noticed a change in how the market responds. There’s been more engagement from brokers and sellers, more traction on larger deals, and I’m taken more seriously in conversations. In the last month alone, I’ve gone further in several processes than I did in the previous ten months on my own. That difference is hard to ignore.

What stands out to me is that this is not just capital. It’s experienced operators and investors who actually lean in, push on assumptions, and help sharpen the strategy before anything goes out the door. That combination of real backing and real support has made a big difference. I feel much more confident stepping into larger, more competitive deals knowing SHV is behind me.”

The combination itself is important, and a massive competitive advantage over similar investment groups.
